1. Agreement to Terms
These Terms and Conditions constitute a legally binding agreement between you, whether personally or on behalf of an entity ("you"), and 3DVizi ("Company", "we", "us", or "our"), concerning your access to and use of the https://www.3dvizi.com website and any related websites, applications, tools, software, products, and services (collectively, the "Services").
By accessing or using the Services, you confirm that you have read, understood, and agree to be bound by these Terms and Conditions. If you do not agree, you must not use the Services.
We may update these Terms and Conditions from time to time by posting the revised version on the Services and updating the "Last updated" date. Your continued use of the Services after any update means you accept the revised Terms.
The Services are intended for users who are at least 18 years old. By using the Services, you represent that you meet this requirement.
The Services are not designed for use in connection with any industry-specific regulatory regime unless we expressly agree otherwise in writing.
2. Intellectual Property Rights
Unless otherwise stated, the Services, including all software, source code, functionality, design, text, graphics, images, video, audio, databases, trademarks, service marks, logos, and other content made available by us (collectively, "Content"), are owned by or licensed to us and are protected by applicable intellectual property and other laws.
Subject to your compliance with these Terms and Conditions, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Services for your internal business or personal use, as applicable.
You must not copy, reproduce, republish, upload, post, publicly display, distribute, sell, license, reverse engineer, or otherwise exploit any part of the Services or Content except as expressly permitted by these Terms, by applicable law, or by our prior written consent.
3. User Accounts
You must provide accurate information and maintain account security. You are responsible for all activity under your account.
By using the Services, you represent and warrant that:
- all information you provide to us is true, accurate, current, and complete;
- you will keep your information up to date;
- you have the legal capacity and authority to agree to these Terms and Conditions;
- you will not use the Services for any unlawful, fraudulent, or unauthorised purpose;
- you will not access the Services through automated or non-human means except as expressly authorised by us; and
- your use of the Services will comply with all applicable laws and regulations.
If you provide any information that is untrue, inaccurate, not current, or incomplete, we may suspend or terminate your account and refuse any current or future use of the Services.
You agree to keep your password confidential and will be responsible for all use of your account and password. You must notify us promptly of any suspected unauthorised access or security breach affecting your account.
We reserve the right to remove, reclaim, or change a username you select if we determine, in our sole discretion, that such username is inappropriate, misleading, obscene, or otherwise objectionable.
4. Fees and Payment
Paid features are billed in advance via third-party providers. Subscriptions renew automatically unless cancelled before the next renewal date.
Unless otherwise required by law, all payments are non-refundable once paid. You are responsible for providing accurate and current billing information.
We reserve the right to correct any errors or mistakes in pricing, even if we have already requested or received payment. We also reserve the right to refuse any order placed through the Services.
If payment cannot be successfully processed, we may suspend or restrict access to paid features until payment is received.
5. Cancellation
Subscriptions continue for the period selected at the time of purchase and renew automatically unless cancelled before the next renewal date.
You may cancel your subscription at any time through your account or by contacting us at support@3dvizi.com. Unless otherwise required by law, cancellation takes effect at the end of the current paid term, and fees already paid are non-refundable.
Nothing in these Terms limits any non-excludable statutory rights you may have under applicable consumer law.
6. Software Use
Any software we make available as part of the Services is licensed, not sold, and provided "as is" without warranties. If software is accompanied by a separate end user licence agreement, that agreement will govern your use of the software to the extent of any conflict.
Unless otherwise agreed in writing, we grant you a limited, non-exclusive, revocable, non-transferable licence to use such software solely as necessary to use the Services in accordance with these Terms and Conditions.
7. Prohibited Use
You may not access or use the Services for any purpose other than that for which we make them available. The Services may not be used in connection with any commercial endeavours except those specifically endorsed or approved by us.
- use the Services for any illegal, fraudulent, or unauthorised purpose;
- reverse engineer, decompile, disassemble, or attempt to derive source code except where prohibited by law;
- upload, transmit, or distribute viruses, malware, Trojan horses, spyware, or other harmful code or material;
- abuse, overload, disrupt, or create an undue burden on the Services or related networks and systems;
- systematically retrieve data or other content from the Services to create or compile, directly or indirectly, a collection, compilation, database, or directory without written permission from us;
- trick, defraud, or mislead us and other users, especially in any attempt to learn sensitive account information such as user passwords;
- circumvent, disable, or otherwise interfere with security-related features of the Services, including features that prevent or restrict the use or copying of any Content or enforce limitations on use;
- disparage, tarnish, or otherwise harm, in our opinion, us and/or the Services;
- use any information obtained from the Services in order to harass, abuse, or harm another person;
- make improper use of our support services or submit false reports of abuse or misconduct;
- engage in unauthorised framing of or linking to the Services;
- engage in automated use of the system, such as using scripts, scraping tools, data mining tools, robots, spiders, or similar data gathering and extraction tools, except where expressly authorised by us in writing;
- delete the copyright or other proprietary rights notice from any Content;
- attempt to impersonate another user or person or use the username of another user;
- harass, annoy, intimidate, or threaten any of our employees, contractors, agents, or other users;
- attempt to bypass any measures designed to prevent or restrict access to the Services or any portion of the Services;
- copy or adapt the Services' software, features, or functionality, including but not limited to HTML, JavaScript, or other code, except as expressly permitted;
- use, launch, develop, or distribute any automated system, scraper, cheat utility, offline reader, or unauthorised script or software that accesses the Services;
- use a buying agent or purchasing agent to make purchases on the Services;
- make any unauthorised use of the Services, including collecting usernames and/or email addresses for unsolicited email, or creating accounts by automated means or under false pretences;
- use the Services as part of any effort to compete with us or to develop, train, or improve a competing product or service;
- benchmark, mirror, resell, lease, sublicense, or commercially exploit the Services except where expressly permitted by us in writing;
- use the Services in a way that violates any applicable export control, sanctions, or trade compliance laws.
8. User Content
The Services may allow you to upload, submit, publish, display, transmit, or otherwise make available content, including text, images, videos, audio, comments, feedback, models, files, and other materials ("User Content").
You retain ownership of your User Content. However, by making any User Content available through the Services, you grant us a worldwide, non-exclusive, royalty-free, transferable, sublicensable licence to host, store, reproduce, modify, adapt, process, display, publish, transmit, and otherwise use that User Content solely as necessary to operate, provide, secure, improve, support, and promote the Services.
You are solely responsible for your User Content and represent and warrant that:
- you own or control all rights necessary to submit and use the User Content and to grant the licence above;
- your User Content does not and will not infringe any copyright, trademark, patent, trade secret, moral right, privacy right, publicity right, or other right of any third party;
- you have obtained all consents, permissions, and releases required in relation to any identifiable individuals appearing in your User Content;
- your User Content is not false, misleading, unlawful, defamatory, obscene, abusive, hateful, discriminatory, or otherwise objectionable;
- your User Content does not contain malware or other harmful code; and
- your User Content complies with all applicable laws and regulations.
We may, but are not obliged to, monitor, review, remove, disable, edit, or restrict User Content at any time if we reasonably believe it violates these Terms, applicable law, or the rights of any person.
We do not claim ownership of your User Content, and nothing in these Terms transfers ownership of your User Content to us.
9. Third-Party Services
The Services may contain links to third-party websites, integrations, software, content, or services. We do not control and are not responsible for any third-party materials, services, or websites, including their accuracy, availability, legality, security, or privacy practices.
Your dealings with third parties are solely between you and the relevant third party. We are not liable for any loss or damage arising from your use of third-party services or content.
10. Modifications, Availability, and Support
We may modify, suspend, or discontinue any part of the Services at any time, with or without notice. We do not guarantee that the Services will always be available, uninterrupted, secure, or error-free.
From time to time, we may perform maintenance, updates, upgrades, or emergency changes that may affect availability or functionality. Nothing in these Terms obliges us to provide any specific maintenance, support, update, release, or service level unless we expressly agree otherwise in writing.
11. Termination
These Terms and Conditions remain in effect while you use the Services.
We may suspend or terminate your access to the Services, with or without notice, if we reasonably believe that you have breached these Terms, created risk or legal exposure for us or others, failed to pay applicable fees, or used the Services in a way that may harm the Services, our users, or any third party.
We may also suspend access temporarily where necessary to investigate suspected abuse, security issues, or unlawful activity.
Upon termination, your right to use the Services will cease immediately. Any provisions that by their nature should survive termination will survive, including provisions relating to intellectual property, fees owed, disclaimers, limitations of liability, indemnity, and governing law.
12. Disclaimer
The Services are provided "as is" and "as available" without warranties of any kind.
To the fullest extent permitted by law, we disclaim all warranties, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, and reliability.
We do not warrant that the Services will be uninterrupted, secure, error-free, or that defects will be corrected, nor do we warrant any specific business outcome, performance result, or compatibility with your systems.
13. Limitation of Liability
To the fullest extent permitted by law, we and our directors, officers, employees, affiliates, contractors, licensors, and agents shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, business, goodwill, opportunity, data, or anticipated savings, arising out of or in connection with your use of or inability to use the Services.
To the fullest extent permitted by law, our total aggregate liability arising out of or in connection with the Services or these Terms and Conditions shall not exceed the greater of: (a) the amount you paid to us for the Services in the three (3) months immediately preceding the event giving rise to the claim; or (b) £100.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation.
14. Indemnification
You agree to defend, indemnify, and hold harmless 3DVizi and its directors, officers, employees, affiliates, contractors, licensors, and agents from and against any claims, actions, losses, liabilities, damages, judgments, costs, and expenses, including reasonable legal fees, arising out of or relating to:
- your use of the Services;
- your User Content;
- your breach of these Terms and Conditions;
- your breach of any representation or warranty made under these Terms and Conditions; or
- your violation of any law or the rights of a third party, including intellectual property, privacy, or publicity rights.
15. User Data
You are solely responsible for your User Content and for maintaining appropriate backups of any data or materials you upload or use through the Services. Although we may perform backups for our own operational purposes, we do not guarantee that any data will be backed up, retained, or recoverable.
To the fullest extent permitted by law, we are not liable for any loss, corruption, deletion, or failure to store any data.

17. Governing Law
These Terms and Conditions and any dispute or claim arising out of or in connection with them, their subject matter, or their formation shall be governed by and construed in accordance with the laws of England and Wales.
If you are a business user, the courts of England and Wales shall have exclusive jurisdiction over any dispute or claim arising out of or in connection with these Terms or the Services.
If you are a consumer, you may also have the right to bring proceedings in your country of residence under applicable law.
18. Disputes
Before starting formal legal proceedings, you agree to contact us at support@3dvizi.com and attempt to resolve the dispute informally in good faith.
If a dispute cannot be resolved informally, it will be resolved through the courts of England and Wales, subject to any mandatory rights you may have under applicable consumer law.
19. Miscellaneous
These Terms and Conditions, together with any policies or additional terms expressly incorporated by reference, constitute the entire agreement between you and us regarding the Services and supersede all prior or contemporaneous understandings relating to the same subject matter.
Our failure to enforce any provision of these Terms shall not be deemed a waiver of that provision or of any other provision.
We may assign or transfer our rights and obligations under these Terms and Conditions. You may not assign or transfer your rights or obligations without our prior written consent.
If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be deemed severed and the remainder shall remain in full force and effect.
Nothing in these Terms creates any agency, partnership, joint venture, employment, or franchise relationship between you and us.
20. Fair Use Policy
We reserve the right, but not the obligation, to monitor use of the Services for compliance with these Terms and to protect the Services, our users, and our business.
Where subscription plans refer to a stated number of projects or to "unlimited" use, such use remains subject to fair and reasonable use. We may monitor usage levels including storage, bandwidth, processing activity, API activity, and publishing or access frequency.
If we reasonably determine that your use is excessive, abnormal, abusive, or materially affects the performance, stability, or availability of the Services for others, we may take appropriate action, including imposing usage limits, restricting specific features, requiring a move to a different subscription tier, suspending access, or terminating the Services. Where practicable, we will use reasonable efforts to notify you in advance.
